3. SMS & Messaging Terms

This messaging program is designed to ensure optimal customer support and to respond to service-related inquiries efficiently.
User Consent & Opt-In
You must provide explicit consent before receiving SMS messages. All opt-in data must be verifiable and documented.
Opt-Out Instructions
You can cancel the SMS service at any time. Just text "STOP" to [Business Phone]. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.
Support Instructions
If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance.
Message Frequency & Fees
Message and data rates may apply. Message frequency varies based on your interactions with our service.
Carrier Liability
Carriers are not liable for delayed or undelivered messages.
Additional Disclosures
Riverclay does not guarantee message delivery. Delivery may be impacted by carrier filtering, mobile network issues, or regulatory changes.
4. Client Responsibilities
As a client, you agree to:
Provide accurate, complete, and lawful information
Obtain all necessary user consents before submitting data
Ensure compliance with all applicable privacy and marketing laws
Use our Services ethically and responsibly
You represent and warrant that all data provided (including phone numbers and lead lists) has been collected lawfully and with proper consent.
5. Payment Terms
All payments are due as specified in your service agreement or invoice.
Late payments may result in additional fees and/or suspension of Services.
6. Intellectual Property
All materials created by Riverclay remain our intellectual property until full payment is received.
Upon full payment, ownership of deliverables may be transferred as agreed in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of engagement, unless disclosure is required by law or permitted in writing.
8. Limitation of Liability
All Services are provided “as is” without warranties of any kind.
Riverclay shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Services.
9. Termination
We reserve the right to suspend or terminate your access to Services if you violate these Terms.
Upon termination, you must cease use of all materials and return or destroy confidential information.
10. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
